Assignments/Change of Ownership

In order to transfer or change the ownership of a trademark, a "trademark assignment" must be completed and filed with the USPTO.  Failure to do so could cause your trademark to become worthless due to a chain of title defect.

Points to Consider:
  • Even simple name changes must be recorded with the USPTO
  • ​The transfer of a trademark must include the underlying goodwill or the date of first use will not apply to the new owner.
  • ​The transfer of a trademark should also include the right to sue for past infringements.
